This product is owned by David Van Meter and Laurion Studio (hereinafter, "Developer"), and its use and reproduction are governed by the terms of this Licensing Agreement.

BY USING OR INSTALLING THIS SOFTWARE, OR BY PLACING OR COPYING THIS SOFTWARE ON YOUR COMPUTER HARDWARE, COMPUTER RAM OR OTHER STORAGE MEDIUM, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THESE TERMS, PROMPTLY DISCONTINUE THE INSTALLATION PROCESS AND CEASE ALL USE OF THIS SOFTWARE.

BY USING OR INSTALLING THIS SOFTWARE, OR BY PLACING OR COPYING THIS SOFTWARE ON YOUR COMPUTER HARDWARE, COMPUTER RAM OR OTHER STORAGE MEDIUM, YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO THESE TERMS, PROMPTLY DISCONTINUE THE INSTALLATION PROCESS AND CEASE ALL USE OF THIS SOFTWARE.

1. The UNREGISTERED version of this software is distributed as shareware. You are hereby licensed to make as many copies of the UNREGISTERED version of this software and documentation as you wish; give exact copies of the original UNREGISTERED version to anyone; and distribute the UNREGISTERED version of the software and documentation in its unmodified form via electronic means. There is no charge for any of the above. Under no circumstances may you distribute or copy the REGISTERED version of the software, except as stated below.

2. If and only if you choose to REGISTER your copy of the software and pay the licensing fee, then subject to the provisions contained herein, the Developer hereby grants you a non-exclusive license to install and use the REGISTERED version of the proprietary software, its associated documentation and any updates thereto (collectively "Software"). The Developer may modify the Software at any time for any reason.

3. You may install and use the REGISTERED software on another computer owned by you, but the software may not be in use on more than one computer at a time unless you purchase additional licenses. You may make back-up copies of the software for archival purposes.

4. The Software embodies trade secrets and intellectual property protected by United States and international copyrights and other laws and international treaties. By using the Software, you agree that all rights, title, and interest in the Software, including the copyrights and trade secrets, are the property of the Developer. You agree not to modify, decompile, disassemble, or otherwise reverse engineer the Software. In addition, you may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works, transmit, or in any way exploit any part of the Software or associated registered user accounts, except as permitted under this Licensing Agreement, or by the express permission of the Developer. The Software has been developed for entertainment purposes only and is not designed or licensed for any other purpose. No rights, title or interest in or to any trademark, service mark, logo, trade name, or any other intellectual property right of Developer is granted under this Agreement.

5. The Distributor warrants to you that Software is provided "AS IS". Unless specified in this agreement, all express or implied conditions, representations and warranties, including any implied warranty or merchantability, fitness for a particular purpose or non-infringement are disclaimed, except to the extent that these disclaimers are held to be legally invalid.

6. In no event will the Developer be liable to you for any loss of use, interruption of business, or any direct, indirect, special, incidental, or consequential damages of any kind (including lost profits) regardless of the form of action whether in contract, tort (including negligence), strict product liability or otherwise, even if the Developer has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

7. We have taken all reasonable steps to keep the software free of viruses, spyware, "back door" entrances, or any other harmful code. We will not track or collect any information about you, your data, or your use of the software except as you specifically authorize, with the exception that we will store your registration information so as to help you recover your Registration Key should you ever lose it, or should you wish to transfer the software to a new computer owned by you. This service is offered at no charge to you. The software will not download or install patches, upgrades, or any third party software without getting your prior permission. In other words, we respect your privacy.

8. This Agreement is effective until terminated. You may terminate this Agreement at any time by destroying all copies of Software. This Agreement will terminate immediately without notice from the Distributor if you fail to comply with any provision of this Agreement. Either party may terminate this Agreement immediately should any Software become, or in either party's opinion be likely to become, the subject of a claim of infringement of any intellectual property right. Upon Termination, you must destroy all copies of Software.

9. This Agreement contains the entire understanding between of the parties related to the subject matter hereof, and supersedes all prior agreements, whether written, oral, or contemporaneous with this Agreement, including but not limited to any and all provisions and conditions set forth in purchase orders. This Agreement may only be modified by a physical writing signed by both the Distributor and the End User. This Agreement shall be governed by and construed under the laws of the state of New York, United States. Jurisdiction of all state actions is the County of Herkimer, New York. If any provision of this Agreement is ever held by a court of competent jurisdiction to be void, invalid, unenforceable or illegal, it will not affect the validity of the remaining balance of the Agreement which will remain in full force and effect. The prevailing party in any legal action regarding the subject matter hereof shall be entitled to recover, in addition to all other relief, reasonable attorneys fees and expenses. Any causes of action which the End User might bring under this Agreement must be instituted within one (1) year after the claim or cause of action has arisen or be barred.
